1. Subject matter of the Contract
Poster Printing’s obligation shall be the supply of the print products free of defects of title and in accordance with the specification set forth in Schedule 1 hereto. The Parties make no further agreements concerning the contractual quality of the Contract Products.

2. Delivery Terms
All deliveries under this Contract shall be made to the address nominated by the Customer at the time of ordering and upon confirmation of payment.

2. Retention of Title
2.1 Ownership is transferred to the Customer upon full payment for the particular delivery.
2.2 In the event of late payment by the Customer, the Poster Printing is entitled without exercising rescission and without granting a period of grace, to demand the temporary surrender of the goods in the ownership of the Poster Printing at Customer´s expense.

3.1 Duty of Inspection and Customer’s rights in case of defects
3.1 The Customer shall inspect the Print Product immediately following delivery for quantity variances and defects. Complaints shall be made in writing, immediately where apparent upon reasonable inspection, in the case of obvious defects no later than 14 days after receipt of the goods and in the case of latent defects no later than 14 days after discovery of the defect, but in any event no later than 30 days after receipt of the goods. The goods supplied shall otherwise be considered free of defects.
3.2 In the case of justified complaints, the Customer shall set Poster Printing a reasonable period in which to make subsequent deliveries to make up quantity shortfalls or deliver Print Products free of defects. If Poster Printing cannot deliver Print Products free of defects within the reasonable period set by the Customer, or if the substitute delivery is also defective, the Customer shall have the option of withdrawing from the respective individual delivery agreement, reducing the purchase price or requesting a refund of payment.

4. Liability
Poster Printing's liability to refund any payment is limited to an aggregate amount of the purchase price of the defective part of the defective delivery. Liability is otherwise excluded to the extent possible by law. In particular Poster Printing is neither liable for non-typical or unforeseeable damage, non-delivery nor for consequential damage nor lost profits.

5. Force Majeure
5.1 Any events and circumstances whose occurrence is beyond the control of the Parties, such as acts of nature, war, labor disputes, shortages of raw materials or power, unavoidable transport and plant stoppages, fire or explosion, order of authority including where such events make performance of the affected business uneconomical for the foreseeable future – and all other cases of force majeure, including those affecting upstream suppliers, shall discharge the affected Party for the period of interruption and to the extent of their effects from its obligations under this Contract. In a case of force majeure, Poster Printing is not obliged to to buy in Print Product from third parties for delivery.
5.2 The affected Party shall immediately notify the other Party of the anticipated duration and extent of the interruption and shall take all reasonable measures to forthwith remedy the interruption. The affected Party shall make reasonable efforts to make good non-performed services within its capacity.

6. Confidentiality
All information, including but not limited to specifications, data or other documentation, including also the terms and conditions of this Contract, developed or disclosed by either Party in connection with this contract shall be treated as confidential information, shall not be used for any other purpose than for the execution of this Contract and shall only be communicated and distributed to those of the Parties’ employees, who need to be informed.
